Chen Xiao Ming

Mr. Chen Xiao Ming graduated from Nan Kai University, South East China
University of Politics and Law, People’s University respectively and
was awarded a LLD degree among other law degrees. Mr. Chen is specialized
in company law, securities law and the laws relating to financial
products like financial futures and has conducted in depth theoretical
research on these subjects. He visited Hawaii University and Association
of All American Lawyers for the research project on direct financing
at the capital market. Mr. Chen holds many distinguished positions
such as legal counsel to Shanghai Stock Exchange; member of Listed
Company Expert Committee of Shanghai Stock Exchange; legal counsel
to Shanghai Securities Industry Association; legal counsel to Shanghai
Pudong New Area; Arbitrator of Shanghai Arbitration Commission, and
member of Economic Affairs Commission of All China Lawyer Association.
Mr. Chen commenced his legal practice in Beijing, Shenzheng, Hainan,
Shanghai in 1990 and is experienced in capital market legal practice.
He acted as legal counsel for several dozens of listed companies,
securities companies and large investment institutions. Mr. Chen was
involved in several influential M & A cases in China’s capital
markets and is good at grasping the laws and policies and clearing
the major legal obstacles at the capital markets. Acting as a member
of Listed Company Expert Committee of Shanghai Stock Exchange, he
reviewed and examed the first re-listing and de-listing of a listed
company under the new listing rules.
Xu Guo Rong

Mr. Xu has a law degree from East China University of Politics and
Law. He was been awarded “securities lawyer” qualification in 1996.
Mr. Xu has worked with Shanghai Hujiang Law Firm, Shanghai Gongmao
Economic Law Firm and worked as a deputy managing partner of Shanghai
Jincheng Law Firm. Mr. Xu is specialized in securities, M&A, foreign
direct Investment and general corporate practice.
Mr. Xu works as legal counsel to Shanghai Stock Exchange and is experienced
in capital market legal practice. He has acted as legal counsel for
dozens of listed companies, securities companies and large business
groups. The famous NEC Corporation has praised him as “Excellent Attorney
in China” in the SVA NEC Liquid Display project.
Frank H. Wang

Frank has three law degrees from East China University of Politics
and Law, University of Brussels and Queens University at Kingston,
Ontario. Qualified to practice law in China and Canada. Frank has
worked in EC Legal Department and worked with Fasken Campbell Godfrey,
one of the largest Canadian law firms and Slaughter and May, one of
the premium international law firms. Frank is specialized in M &
A, banking and financing, offering and listing at home and overseas,
foreign direct investment, and general corporate and commercial practice.
Frank works as legal counsel to Shanghai Stock Exchange and Pudong
New Area Government. He has provided legal services to many multinational
corporations and local business groups. His work languages are English

Tian Yun
Partner of C & S Law Firm
Mr. Tian has one science degree and two law degrees from Shanxi Teachers
University, Southcentral University of Politics and Law and East China
Teachers University. Mr. Tian worked with No. 3 Law Office and Business
Law Office of Hainan Province and he has “securities lawyer” qualification
accredited by Ministry of Justice and CSRC. He is specialized in securities,
debt and equity issues, reorganization and restructuring, M&A,
and corporate practice.
Since qualified as a lawyer, Mr. Tian has been appointed as legal
counsel to a dozen of securities and finance companies, real estate
companies and foreign invested companies. He has provided legal services
in reorganization, restructuring, listing, financing and M&A to
many listed companies. Mr. Tian also has handled more than one hundred
civil, economic and criminal cases.
Liu Yun

Mr. Liu graduated from South East China University of Politics and
Law and was awarded a LLD degree. He worked as a teacher in Wuhan
Police School before becoming a lawyer. From 1990, Mr. Liu has worked
with Hainan Law Firm and worked as managing partner at Hainan Tianzhe
Law Firm and at same time he was one of the director of the Hainan
Law Association and a member of the Financing & Securities Committee
of Hainan Law Association. In 1993, Mr. Liu was awarded with “securities
lawyer” qualification accredited by Ministry of Justice and CSRC.
Mr. Liu is specialized in securities, financing, real estate, commercial

Zheng Ming Jiu

Mr. Zheng graduated from East China University of Politics and Law
and was awarded a LLM degree. He was qualified for a lawyer in 1990.
Mr. Zheng worked as the deputy general secretary of Hainan Law Association
while practicing in Hainan. In 1995, he was selected to take a training
program in Singapore Robert W.H. Wang & Woo Law Office. Mr. Zheng

Li Bei Zhan

Mr. Li Bei Zhan graduated from the law school of Jiling University
which is very famous in China and was awarded a LLM degree. After
graduation, Mr. Li had worked in the political and law department
of the Government for several years and then left to practice at law
firms. He is specialized in company law, securities law and contract
laws and has conducted in depth theoretical research on these subjects.
Mr. Li is specialized in securities, financing, M&A, real estate,

Angela Liu
Partner of C & S Law Firm
Angela Liu earned her E.B. from Nanjing Science & Technology University
and her LL.M. from Fudan University. She was selected and sent to
take a 3-months training program in EU and WTO by Shanghai Municipal
Government in 2003 and to take training at Charltons Law Firm in Hong
Kong by Shanghai Bar Association in 2004.
Angela started her practice at C&S after graduation from Fudan
University. She specializes in offering and listing at home and overseas,
financing, M&A, foreign investment, IPR protection, international
trade and dispute resolutions.
Angela has been retained as a permanent counsel by a dozen of local
companies and foreign invested ventures to handle a full range of
corporate legal matters. She has been actively involved in structuring,
negotiation, document preparation and rendering of legal opinion on
corporate reorganization, foreign investment, financing, offering
and listing at home and overseas and acquisition of domestic assets
by foreign capitals.

Li Quan

Li Quan graduated from East China University of Politics and Law and was awarded a LLM degree. Quan worked as a law teacher in Shanghai Foreign Language University from 1987 to 1992 and a legal counsel to a famous American company from 1992 to 1994. She was qualified for a lawyer in 1990 and dealt with a lot of civil, economic and criminal cases in her part time when she was a law teacher. From 1994 to 2004, Quan devoted herself in Pudong Development. Quan has worked as a legal counsel to Shanghai Zhang Jiang Hi-Tech Park Development Corp for seven years, where many world-class hi-tech firms have found home. when Quan was a legal counsel there, She once successfully solved the” guarantee risk” case and accrued lots of work experience in company and real estate. Yang Xianping， male, 32 years old, lawyer, Master，graduated successively
from Shanghai International Studies University, East China University
of Politics and Law, Donghua University, majoring in foreign language,
